Claims and Arbitration.
It may happen in business that certain terms and conditions of the Contract are infringed by the Sellers or by the Buyers and then the dissatisfied party makes a claim on the other party. Here is the example of a claim made in connection with the substandard goods delivered to the Buyers.
Messrs. Brown & Carter,
We have received serious complaints from our customers in … with regard to the bales of Cotton Wastes supplied by you under Contract 19/14. They find that the bulk of the goods (i.e.12 bales) does not conform to the samples submitted, therefore they were forced to suspend production and are now sustaining heavy losses.
You will understand that you have infringed the Contract by delivering the goods of inferior quality and consequently you are to compensate our Customers for their losses by granting them a 7% allowance off the contract value. We thank you for your offer of June 10, 19… for 6 Machines Model K-100. We have carefully considered your offer and we are pleased to inform you that the efficiency of the Machines fully meets our requirements.
As to the terms of payment we cannot agree to them as they go against our usual practice. Our terms of payment are as follows:
Within 5 days upon receipt of your notification of readiness we shall open in your favour an irrevocable Letter of Credit for 75 per cent of the value of the goods intended for shipment. The balance of 25 per cent shall be paid after the expiration of the quarantee period.
As regards the time of delivery we should like you to ship the goods in the middle of October.
If you agree to the terms of payment and the time of delivery proposed by us we shall be pleased to send you our formal order by return.
